The Legal Counsel Finance a.i. will provide legal advice within the organisation with a strong focus on the execution of new transactions within the SME/Midcorp team. The interim role is intended to provide temporary senior legal capacity during a period of expected increased transaction activity towards the end of year and to ensure continuity during the maternity leave of one of our Senior Legal Counsel Finance team members. You will advise on the legal structuring and aspects of envisaged new projects in early phase and be a sparring partner for the (Senior) Investment Officers and other commercial deal team members. In addition, the Legal Counsel Finance a.i. will be in close contact and manage external (foreign) legal counsel, if engaged. Further, you will be involved in relation to the existing investment portfolio. The Candidate must be available forty (40) hours per week; 5 days per week, 8 hours per day till 10 April 2027. After 9 April 2027, the number of hours may be decreased to 8 flexible hours per week for a period of 25 weeks with a notice period of 4 weeks. – The professional provides substantive legal advice, analysis, drafting and support within one or more areas of law. • The services may include, but are not limited to: o Corporate Law, Commercial Law or corporate governance matters; o Administrative Law o Public Law (including the Wet open overheid); o Procurement and Tender law; o Labour law; o Privacy and Data Protection Law; o State Aid Law; o Tax Law; o Complaints or Litigation; o M&A advisory, including advice on private equity or venture capital transactions, investments, partnerships, and transaction and corporate structures; o Review and amendment of financing arrangements, security interests and guarantees, including (LMA-style) loan documentation; o FR&R related legal matters (including insolvency law or enforcement of security). • Legal services are typically deployed to: o Support complex transactions, programmes or projects; o Advise on regulatory or compliance matters; o Draft, review or negotiate legal documents; o Provide legal input during tender procedures, disputes or organisational changes. 3.500.000 Euro based on a period of 4 years.
